This Customer Sales Agreement, the "Agreement," is a legal agreement between you and Orb AI Inc., a Delaware corporation with its principal place of business in San Francisco, California, referred to as "Orb AI," "we," "us," or "our."
This Agreement applies when you place an order, reservation, or purchase for any Orb AI product, including Bloo, through our website, checkout page, payment page, or any other sales channel operated by or on behalf of Orb AI.
By checking the agreement box, placing an order, submitting payment, or completing checkout, you confirm that you have read, understood, and agree to this Agreement.
Bloo is a pre-production consumer robotics product that is not currently available for immediate shipment. Depending on the option selected at checkout, your order will be either a $100 Reservation Order or a $799 Paid-in-Full Order. Both order types are subject to the development status, estimated fulfillment schedule, product-change terms, cancellation terms, refund terms, and other conditions stated in this Agreement.
Bloo is a new consumer robotics product that is currently in development, manufacturing preparation, testing, certification, supply chain preparation, or fulfillment preparation.
Bloo is not currently ready for immediate shipment.
At checkout, Orb AI may offer one or more of the following order options:
If you select the $100 Reservation Order, you will pay a $100 reservation payment when placing your order.
The $100 reservation payment will be credited toward Bloo's regular product price of $899.
Unless a different amount is expressly stated in your order confirmation, the remaining product balance will be $799, plus applicable taxes, shipping, handling, delivery, customs, duties, insurance, pickup logistics charges, and other disclosed fulfillment costs.
Payment of the $100 reservation amount does not constitute full payment for Bloo.
Orb AI will request payment of the remaining product balance and applicable charges before shipment or pickup. Orb AI is not obligated to ship Bloo or make it available for pickup until all amounts due have been paid.
If you select the $799 Paid-in-Full Order, you will pay a discounted product price of $799 when placing your order.
The $799 price is a promotional discount from Bloo's regular product price of $899.
The $799 payment covers the product price only, unless checkout or your order confirmation expressly states otherwise.
Applicable sales tax, shipping, handling, delivery, customs, duties, import charges, insurance, pickup logistics charges, and other disclosed fulfillment costs may be charged separately.
A Paid-in-Full Order does not mean that Bloo is complete, in inventory, or ready for shipment. It means only that you have paid the applicable discounted product price in advance, subject to this Agreement.
Once Orb AI accepts a valid $799 Paid-in-Full Order, Orb AI will not increase the product price for that order solely because the promotional offer later expires. Taxes, shipping costs, customs charges, duties, and other fulfillment-related costs may still change or be assessed before fulfillment.
The order option you selected, product price, amount paid, remaining balance, promotional terms, and other order-specific details will be identified in your checkout page or order confirmation.
Orb AI may limit the duration, quantity, eligibility, geographic availability, or availability of any reservation or promotional offer.
You must be at least 18 years old and legally able to enter into this Agreement.
By placing an order, you represent that:
Orb AI may require additional information to confirm your identity, payment authorization, delivery location, eligibility, or compliance with applicable law.
Your submission of an order is an offer to purchase or reserve Bloo under this Agreement.
Your order is not accepted until Orb AI provides an order confirmation or otherwise confirms acceptance.
An automated payment receipt does not necessarily constitute acceptance of an order.
Orb AI may reject, cancel, or limit an order for any lawful reason, including:
If Orb AI cancels an order after collecting payment, Orb AI will refund the amount paid directly to Orb AI for the cancelled and unfulfilled portion of the order.
Bloo is not available for immediate shipment.
Orb AI currently estimates that limited initial fulfillment may begin as early as December 2026 and that broader fulfillment may begin around March 21, 2027.
These dates are estimates only and are not guaranteed shipment, delivery, or pickup dates.
The estimated timing applicable to your individual order may depend on:
Orb AI may provide a more specific estimated shipment, delivery, or pickup period in your order confirmation or through a later written order update.
For purposes of Orb AI's contractual cancellation policy, July 30, 2027 is the "Outside Fulfillment Date."
Product development, testing, certification, manufacturing, supplier availability, regulatory review, customs processing, logistics, and events outside Orb AI's reasonable control may affect fulfillment timing.
If Orb AI determines that it cannot ship your order or make it available for pickup within a shipment or availability period previously communicated to you, Orb AI will provide any delay notice, request for consent, cancellation opportunity, or refund required by applicable law.
Nothing in this Agreement permits Orb AI to retain a customer's payment when applicable law requires cancellation or a refund because of delayed shipment.
If Orb AI has not shipped your Bloo or made it available for pickup by July 30, 2027, you may cancel the unfulfilled order and receive a refund of all amounts paid directly to Orb AI for the unfulfilled product.
This contractual cancellation right applies to both:
You must submit your cancellation request before Bloo has been shipped, collected by you or your authorized representative, or otherwise transferred to you.
A product is considered "made available for pickup" only when Orb AI has:
Approved refunds will be returned to the original payment method unless another method is required by applicable law or the applicable payment processor.
This section does not replace, restrict, or delay any earlier cancellation or refund right required by applicable law.
When Bloo is ready, you may choose to pick it up at one of Orb AI's then-available designated pickup locations, or you may request delivery to a location where Orb AI can legally and commercially support delivery.
Delivery availability is not guaranteed for every country, region, address, or order.
As of the Effective Date, Orb AI's anticipated designated pickup locations are:
Pickup locations are subject to change and are not guaranteed until Orb AI confirms the location for your specific order.
If you choose pickup, you are responsible for arranging and paying for travel to the selected pickup location.
If you choose delivery, you are responsible for all applicable costs related to delivery and fulfillment, including:
For customers selecting Tokyo pickup, a handling and logistics fee of $200 may apply to cover import processing, customs clearance, and local coordination.
Any applicable shipping, handling, customs, delivery, import, tax, or pickup logistics costs may be disclosed and requested at checkout, before fulfillment, or when delivery or pickup is coordinated.
Orb AI may add, change, relocate, or discontinue pickup locations or delivery options before your order is ready.
If your selected pickup location or requested delivery option becomes unavailable, Orb AI may offer an alternative pickup location or delivery option where reasonably available.
If Orb AI cannot provide a commercially reasonable fulfillment option and cancels your order, Orb AI will refund the amount paid directly to Orb AI for the cancelled and unfulfilled portion of the order.
Orb AI may reject or cancel an order if the selected fulfillment region becomes unavailable, restricted, legally prohibited, subject to sanctions or export restrictions, or commercially unreasonable to support.
You authorize Orb AI or its payment processor to charge your selected payment method for the amounts disclosed and agreed to at checkout.
For a $100 Reservation Order, you authorize Orb AI to charge the $100 reservation payment when the order is placed.
The $100 reservation payment will be credited toward Bloo's regular product price of $899.
Unless otherwise stated in your order confirmation, the remaining product balance will be $799.
Orb AI will request payment of the remaining product balance and applicable taxes and fulfillment charges before shipment or pickup.
Orb AI will not ship Bloo or make Bloo available for pickup until all required amounts have been paid.
Orb AI will not charge a remaining product balance without the authorization required by applicable law and the applicable payment processor.
For a $799 Paid-in-Full Order, you authorize Orb AI to charge the discounted $799 product price when the order is placed.
Unless expressly included at checkout, the $799 payment does not include:
A promotional product price applies only to the product price unless your checkout page or order confirmation expressly states otherwise.
All prices are stated in United States dollars unless expressly stated otherwise.
You are responsible for applicable:
Orb AI will provide notice of any material additional amount payable directly to Orb AI before charging that amount, except where you have previously and validly authorized the charge.
Failure to pay an amount when due may result in delay, suspension, or cancellation of your order.
For orders fulfilled within the United States, applicable sales tax may be collected at checkout or before fulfillment.
For international delivery or pickup outside the United States, including Japan, you may be responsible for:
These charges may not be included in the checkout price unless expressly stated.
Orb AI is not responsible for delays caused by:
You are responsible for providing complete, accurate, and current customer information, including your:
Orb AI is not responsible for failed delivery, lost packages, returned packages, additional charges, or delays caused by incorrect, incomplete, or outdated information supplied by you.
If your shipping address, contact information, or pickup preference changes before fulfillment, you must notify Orb AI as soon as reasonably possible.
Orb AI cannot guarantee that changes can be processed after final fulfillment, shipment preparation, customs processing, or shipment has begun.
Orb AI may require additional payment if a requested address or fulfillment change increases shipping, tax, customs, handling, or logistics costs.
Bloo is under active development.
The final product may differ from images, videos, prototypes, renderings, demonstrations, descriptions, early specifications, feature lists, or other marketing materials shown before shipment.
Such materials may depict pre-production, prototype, concept, or development versions of Bloo and are provided for informational and marketing purposes.
The final product may vary in:
You acknowledge that reasonable product changes, substitutions, removals, additions, and improvements are customary for pre-production products.
Orb AI may modify the product, hardware, software, firmware, packaging, accessories, included items, or features before shipment for reasons including:
Orb AI will not intentionally make a change that causes the delivered product, taken as a whole, to be materially different in its fundamental nature from the product ordered.
If Orb AI determines that a change will materially alter the fundamental nature of Bloo, Orb AI will notify affected customers and provide any cancellation or refund option required by applicable law.
Your order is not conditioned on any particular prototype appearance, unreleased feature, demonstration behavior, marketing depiction, or early specification, except for final written specifications expressly confirmed by Orb AI in your order confirmation or another binding written agreement.

Orb AI does not guarantee that every feature shown in early demonstrations, prototypes, concept videos, website materials, or marketing materials will be available at launch or remain permanently available.
Orb AI may add, change, limit, suspend, or remove software features, artificial intelligence features, application features, cloud features, or third-party integrations for reasons including:
Software updates may change the operation, appearance, behavior, or available functionality of Bloo.
Separate software terms, subscription terms, privacy disclosures, or third-party terms may apply to certain software or services.
Bloo is intended for personal, household, educational, productivity, entertainment, and general assistance use.
Bloo is not a:
You must not rely on Bloo for:
Bloo is not a substitute for responsible adult supervision.
Bloo must not be used as the sole method of supervising children, elderly individuals, pets, or any person who requires care, monitoring, or assistance.
You agree to use Bloo:
You are responsible for evaluating whether your home, network, floor surfaces, stairs, furniture, pets, occupants, and intended uses are suitable for Bloo.
Information, coaching, reminders, suggestions, responses, or content provided by Bloo are for general informational purposes only.
Bloo does not provide professional:
You should consult an appropriately qualified professional before making decisions that require professional judgment.
You remain responsible for evaluating and verifying information provided by Bloo.
You may cancel your order within 14 calendar days after placing the order, provided that your order has not:
If you validly cancel during the initial 14-day cancellation period, Orb AI will refund amounts paid directly to Orb AI for the cancelled and unfulfilled product.
Orb AI will not charge a cancellation fee for a valid cancellation made during the initial cancellation period.
After the initial 14-day cancellation period, customer-requested cancellations based solely on a change of mind are not guaranteed.
Orb AI may approve or deny a cancellation request after the initial cancellation period, except where cancellation or a refund is required under:
If Orb AI cannot fulfill your order within an applicable shipment or availability period communicated to you, Orb AI will provide any delay notice, request for consent, cancellation opportunity, or refund required by applicable law.
If Orb AI has not shipped Bloo or made it available for pickup by July 30, 2027, you may cancel the unfulfilled order and receive a refund of all amounts paid directly to Orb AI for the unfulfilled product.
If Orb AI cancels your order, Orb AI will refund amounts paid directly to Orb AI for the cancelled and unfulfilled portion of the order.
Cancellation requests must be submitted to Orb AI at alireza@orbai.ai.
Your request must include:
A cancellation is not effective until Orb AI confirms the cancellation, except where applicable law provides otherwise.
Nothing in this section limits any non-waivable cancellation or refund right available under applicable law.
The cancellation rights that apply before fulfillment are described in Section 14.
After Bloo has been shipped, delivered, collected, or otherwise transferred to you, Orb AI does not accept returns based solely on a change of mind, except where Orb AI expressly provides a return period in writing or where a return or refund is required by applicable law.
This no-change-of-mind return policy does not eliminate any rights you may have concerning a product that is:
Before returning any product, you must contact Orb AI and obtain return instructions or authorization where requested.
Approved refunds will generally be returned to the original payment method unless another refund method is required or permitted by applicable law or the payment processor.
Refund processing times may depend on your bank, card issuer, or payment provider.
Shipping fees, duties, taxes, customs charges, brokerage charges, carrier fees, and other third-party charges may be non-refundable to the extent that Orb AI did not receive or cannot recover those amounts, except where applicable law requires otherwise.
Orb AI will not deduct shipping, payment-processing, or fulfillment expenses from a refund when applicable law requires a full refund.
Orb AI may provide a written limited warranty with Bloo before or at the time of fulfillment.
Any written limited warranty will describe its coverage, duration, exclusions, claim procedure, and available remedies.
Except for any express written limited warranty provided by Orb AI, and to the maximum extent permitted by applicable law, Bloo and related services are provided "as is" and "as available."
To the maximum extent permitted by applicable law, Orb AI disclaims implied warranties, including implied warranties of:
Some jurisdictions do not allow the exclusion or limitation of certain warranties. In those jurisdictions, the exclusions and limitations in this Agreement apply only to the extent permitted by law.
Nothing in this Agreement limits any warranty or consumer right that cannot lawfully be waived.
To the maximum extent permitted by applicable law, Orb AI and its officers, directors, employees, contractors, suppliers, partners, service providers, payment processors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This exclusion includes damages for:
To the maximum extent permitted by applicable law, Orb AI's total aggregate liability for claims arising out of or relating to an order, reservation, payment, shipment, pickup, product, software, service, or this Agreement will not exceed the amount you paid directly to Orb AI for the specific product giving rise to the claim.
The limitations in this section apply regardless of the legal theory asserted and even if Orb AI was advised of the possibility of the damages.
Nothing in this Agreement excludes or limits liability where exclusion or limitation is prohibited by applicable law, including liability that cannot legally be limited for fraud, intentional misconduct, or personal injury caused by negligence where applicable law prohibits such a limitation.
Orb AI will not be responsible for delay or failure to perform caused by events outside its reasonable control.
Such events may include:
A force majeure event does not eliminate any cancellation or refund right that applicable law requires Orb AI to provide.
For products delivered to a customer address, title and risk of loss pass to you when the product is delivered to the address you designated, except where applicable law provides otherwise.
For pickup orders, title and risk of loss pass to you when you or your authorized representative takes physical possession of the product.
This section does not limit any claim you may have against Orb AI or a carrier for a product that is lost, damaged, or incorrectly delivered before risk of loss passes to you.
Your use of Orb AI's website, checkout process, products, software, and services is also subject to Orb AI's Privacy Policy.
By placing an order, you acknowledge that Orb AI may collect, process, and use information reasonably necessary to:
The Privacy Policy is incorporated into this Agreement by reference.
You agree that Orb AI may contact you by email, phone, text message, or mail regarding:
You are responsible for keeping your contact information accurate and current.
Transactional communications relating to your order are not marketing communications.
Any marketing communications will be subject to applicable law and any available opt-out rights.
Products purchased from Orb AI are intended for personal or household use unless Orb AI provides written permission otherwise.
Orb AI may reject or cancel orders that appear to involve:
This section does not prohibit a lawful resale of a product you already own where such a restriction would be unenforceable under applicable law.
You agree to comply with all applicable export control, sanctions, customs, and trade laws.
You may not purchase, ship, transfer, export, re-export, supply, or use any Orb AI product in violation of applicable law.
Orb AI may refuse or cancel an order if Orb AI reasonably believes that fulfilling the order would violate export controls, sanctions, customs requirements, or trade restrictions.
This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where the mandatory consumer protection laws of your place of residence require otherwise.
Nothing in this Agreement limits any non-waivable consumer protection right available to you under applicable law.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement to the extent its exclusion is permitted by law.
Before starting a formal legal claim, you agree to contact Orb AI at alireza@orbai.ai and provide a reasonable description of the dispute.
You and Orb AI agree to make a good-faith effort to resolve the dispute informally.
If a dispute cannot be resolved informally, the dispute will be handled in the state or federal courts located in Delaware, unless applicable consumer protection law requires or permits a different venue.
You and Orb AI consent to the personal jurisdiction of those courts, subject to any non-waivable rights under applicable law.
Nothing in this section prevents either party from seeking temporary or emergency injunctive relief where legally appropriate.
Nothing in this section limits any right you may have to bring a claim in small claims court or another forum where applicable law provides that right.
Orb AI may update this Agreement from time to time.
The version that applies to your order is the version presented or made available to you when you placed the order, unless:
Orb AI will not retroactively remove a material contractual right from an accepted order without your agreement, except where required by applicable law.
You may not assign or transfer your rights or obligations under this Agreement without Orb AI's prior written consent.
Orb AI may assign this Agreement in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the applicable business or product line.
Any assignment remains subject to applicable law and does not eliminate accrued consumer rights.
A failure or delay by Orb AI to enforce any provision of this Agreement does not waive Orb AI's right to enforce that provision later.
A waiver is effective only if it is in writing and signed by an authorized representative of Orb AI.
If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
The remaining provisions will remain in full force and effect.
Section headings are provided for convenience and do not affect interpretation.
Words such as "including" and "includes" mean "including without limitation."
A reference to "written" or "in writing" includes email and electronic notices where permitted by applicable law.
This Agreement will not be interpreted against either party solely because that party drafted or proposed a provision.
This Agreement, together with the following documents, forms the entire agreement between you and Orb AI regarding your order:
If an order-specific term in your order confirmation directly conflicts with this Agreement, the order-specific term will control only with respect to that order, provided that the term was clearly disclosed and is enforceable under applicable law.
Statements made in advertising, demonstrations, interviews, social media posts, concept materials, or informal communications do not modify this Agreement unless Orb AI expressly incorporates them into a binding written order confirmation or agreement.
You agree that this Agreement may be accepted electronically.
Your electronic acceptance, submission of payment, or completion of checkout has the same legal effect as a handwritten signature to the extent permitted by applicable law.
You may retain a copy of this Agreement electronically or print it for your records.
