This Customer Sales Agreement is a legal agreement between you and Orb AI Inc., a Delaware corporation with its principal place of business in San Francisco, California. This Agreement applies when you place an order, preorder, reservation, or purchase for any Orb AI product, including Bloo, through our website, checkout page, payment page, or any other sales channel operated by or on behalf of Orb AI.
By checking the agreement box, placing an order, submitting payment, or completing checkout, you confirm that you have read, understood, and agree to this Agreement.
By placing an order, you understand and agree that Bloo is a preorder product, the final product may vary in appearance, specifications, and features before fulfillment, and Orb AI is targeting fulfillment around Nowruz, also known as Persian New Year, March 21, 2027. This date is an estimated target, not a guaranteed delivery deadline. If Orb AI does not make your Bloo available for delivery or pickup by July 30, 2027, you may request a full refund, subject to this Agreement and applicable law.
Bloo is a new consumer robotics product. Unless Orb AI expressly states otherwise at checkout, your order is a preorder for a product that is still in development, manufacturing preparation, testing, certification, supply chain preparation, or fulfillment preparation.
A preorder means the product is not currently ready for immediate shipment.
You understand that product specifications, features, design, materials, software, packaging, accessories, colors, dimensions, performance, availability, and delivery timing may change before shipment. Orb AI may make changes to improve safety, reliability, manufacturing, usability, compliance, performance, or product quality.
You must be at least 18 years old and legally able to enter into this Agreement. By placing an order, you represent that all information you provide is accurate, complete, and current.
When Bloo is ready, you may choose to pick it up at one of Orb AI's designated pickup locations, or you may request delivery where Orb AI can legally and commercially support delivery. Delivery availability is not guaranteed for every country, region, address, or order.
At this time, Orb AI's designated pickup locations are:
If you choose pickup, you are responsible for arranging travel to your selected pickup location. If you choose delivery, you are responsible for all costs related to delivery and fulfillment, including shipping, handling, packing, insurance, customs, duties, import charges, taxes, brokerage fees, carrier fees, local delivery fees, storage fees, pickup logistics, and any other logistics or government-imposed costs.
For customers selecting Tokyo pickup, a handling and logistics fee of $200 will be applied to cover import processing, customs clearance, and local coordination. Any applicable shipping, handling, customs, delivery, import, tax, or pickup logistics costs may be disclosed and requested at checkout, before fulfillment, or when delivery or pickup is coordinated.
Orb AI may add, change, or discontinue pickup locations or delivery options before your order is ready. If your selected pickup location or requested delivery option becomes unavailable, Orb AI will notify you and offer an alternative pickup or delivery option where available, or a full refund if Orb AI cannot fulfill your order.
Orb AI may cancel, reject, or refuse any order if the customer's selected fulfillment region becomes unavailable, restricted, legally prohibited, or commercially unreasonable. If Orb AI cancels your order after payment has been collected, Orb AI will refund the cancelled portion of the order.
Bloo is currently offered as a preorder unless expressly stated otherwise at checkout.
Orb AI is targeting fulfillment of your Bloo around Nowruz, also known as Persian New Year, March 21, 2027.
This Nowruz date is an estimated delivery target and not a guaranteed delivery deadline. Product development, manufacturing, certification, safety testing, supplier availability, regulatory review, customs processing, logistics, and other factors may affect timing before and after this target date.
Except where required by applicable law or where Orb AI cancels your order, you are not eligible to request a refund based on delivery timing before July 30, 2027.
If Orb AI does not make your Bloo available for delivery or pickup by July 30, 2027, you may request cancellation of your preorder for a full refund.
Refunds will be returned to your original payment method unless another method is required by law or by the payment processor.
Nothing in this Agreement limits any cancellation or refund right you have under applicable consumer protection law.
Your order is not accepted until Orb AI confirms acceptance. Orb AI may reject, cancel, or limit any order for any lawful reason, including suspected fraud, incorrect pricing, product unavailability, payment issues, geographic restrictions, export restrictions, website errors, checkout errors, or payment processor errors.
If Orb AI cancels your order after payment has been collected, Orb AI will provide a refund for the cancelled portion of the order.
You authorize Orb AI or its payment processor to charge your selected payment method for the amount shown at checkout, including product price, shipping fees, handling fees, delivery fees, pickup logistics fees, customs-related fees, taxes, and any other charges disclosed at checkout. Additional shipping, handling, customs, delivery, and logistics costs may be requested before fulfillment when applicable.
Prices are listed in United States dollars unless stated otherwise. You are responsible for any bank fees, currency conversion fees, card fees, import duties, customs charges, taxes, carrier fees, brokerage fees, storage fees, insurance fees, or similar charges that may apply.
For orders fulfilled within the United States, applicable sales tax may be collected at checkout.
For international delivery or pickup outside the United States, including Japan, you may be responsible for import duties, customs fees, value added tax, consumption tax, brokerage fees, carrier fees, storage fees, local delivery fees, or other charges imposed by authorities, carriers, brokers, or logistics providers. These charges may not be included in the checkout price unless expressly stated.
Orb AI is not responsible for delays caused by customs processing, import review, unpaid duties, unpaid taxes, carrier requirements, or missing import information.
You are responsible for providing a complete and accurate shipping address when delivery is requested, along with a current phone number and email address.
Orb AI is not responsible for failed delivery, lost packages, returned packages, additional fees, or delays caused by incorrect, incomplete, or outdated customer information.
If your shipping address or pickup preference changes before fulfillment, you must notify Orb AI as soon as possible. Orb AI cannot guarantee that changes can be processed after fulfillment has started.
You understand and agree that Bloo is under active development and the final product may differ from images, videos, prototypes, renderings, demonstrations, descriptions, early specifications, feature lists, or other marketing materials shown before shipment. Those materials are provided for informational and marketing purposes only and are not a guarantee, warranty, or binding representation of the final product.
Images, videos, renderings, prototypes, demonstrations, and marketing materials may show pre-production versions of Bloo. The final product may vary in appearance, materials, size, color, shape, behavior, accessories, included items, features, functionality, performance, packaging, software, connectivity, and availability.
You acknowledge that reasonable product changes, substitutions, removals, additions, or improvements are customary for preorder and pre-production products. Orb AI may modify the product, software, hardware, packaging, accessories, included items, or features before shipment for reasons including safety, reliability, manufacturing, usability, compliance, certification, supply chain availability, performance, product quality, or business needs.
Your preorder is not conditioned on any particular prototype appearance, unreleased feature, demonstration behavior, marketing depiction, or early specification, except for any final written specifications Orb AI expressly confirms in your order confirmation or other binding written terms.
Bloo may include software, firmware, artificial intelligence features, mobile app features, cloud features, local features, updates, and third party services. Some features may require software updates, account setup, internet access, compatible devices, or future availability.
Orb AI does not guarantee that every feature shown in early demos, prototypes, concept videos, website materials, or marketing materials will be available at launch or permanently available.
Orb AI may add, change, limit, suspend, or remove software features, AI features, app features, cloud features, or third party integrations for reasons including safety, reliability, compliance, security, technical limitations, product improvement, or business needs.
Bloo is intended for personal, household, educational, productivity, and general assistance use.
Bloo is not a medical device, emergency response device, security system, childcare replacement, eldercare replacement, pet care replacement, therapy device, clinical device, life safety system, or professional care system.
You should not rely on Bloo for emergencies, medical care, critical reminders, security monitoring, child supervision, elder supervision, pet supervision, or any use where failure could result in injury, death, property damage, or significant loss.
Bloo is not a substitute for adult supervision. Bloo should not be used as the sole method of supervising children, elderly individuals, pets, or any person who requires care, monitoring, or assistance.
You agree to use Bloo only as instructed, only in a safe environment, and only in accordance with any product instructions, safety materials, warnings, or documentation provided by Orb AI.
Any information, coaching, reminders, suggestions, responses, or content provided by Bloo are for general informational purposes only.
Bloo does not provide medical, legal, financial, psychological, therapeutic, clinical, safety, emergency, or professional advice.
You should consult a qualified professional for professional advice.
Except where required by applicable law or where Orb AI cancels your order, customer-requested cancellations and refunds based on delivery timing are not available before July 30, 2027.
Beginning on July 30, 2027, if Orb AI has not made your Bloo available for delivery or pickup, you may request cancellation by contacting Orb AI at alireza@orbai.ai.
If your cancellation request is approved, Orb AI will refund the amount you paid to the original payment method, unless another refund method is required by law or by the payment processor.
Once your order has entered final fulfillment, shipment preparation, or shipment, Orb AI may not be able to cancel the order. In that case, any return or refund will be handled under Orb AI's return policy and applicable law.
Nothing in this section limits any cancellation or refund right you have under applicable law.
Unless a different return or refund policy is clearly stated at checkout, returns and refunds will be handled according to Orb AI's return policy posted at the time of your purchase and applicable law.
If Orb AI is required by law to offer you a cancellation right or refund because of a shipping delay, Orb AI will honor that requirement.
Refunds will generally be returned to the original payment method unless another method is required or permitted by law, the payment processor, or Orb AI's policies. Processing times may vary depending on your bank, card issuer, or payment provider.
Shipping fees, duties, taxes, customs charges, carrier fees, brokerage fees, and other third party charges may be non-refundable except where required by law.
Except for any written limited warranty that Orb AI expressly provides with the product, the product is provided as is and as available to the maximum extent permitted by law.
To the maximum extent permitted by law, Orb AI disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and compatibility with every home environment, device, network, or use case.
Some jurisdictions do not allow limitations on implied warranties, so some of these limitations may not apply to you.
To the maximum extent permitted by law, Orb AI and its officers, directors, employees, contractors, suppliers, partners, service providers, payment processors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost business, loss of goodwill, product downtime, delay damages, substitute product costs, or loss arising from use of or inability to use the product.
To the maximum extent permitted by law, Orb AI's total liability for any claim related to your order, preorder, payment, shipment, product, software, or this Agreement will not exceed the amount you paid to Orb AI for the product giving rise to the claim.
Nothing in this Agreement limits liability where such limitation is prohibited by law.
Orb AI will not be responsible for delays or failure to perform caused by events outside its reasonable control, including natural disasters, war, terrorism, labor disputes, supplier failure, component shortages, manufacturing delays, transportation delays, customs delays, cyberattacks, epidemics, pandemics, government actions, regulatory changes, utility failures, power outages, payment processor issues, carrier issues, or other events beyond Orb AI's reasonable control.
Your use of Orb AI's website, checkout, products, and services is also subject to Orb AI's Privacy Policy.
By placing an order, you agree that Orb AI may collect and use information necessary to process your order, provide customer support, send order updates, deliver the product, prevent fraud, process payments, comply with legal obligations, and provide product-related communications.
You agree that Orb AI may contact you by email, phone, text message, or mail regarding your order, payment, shipping, delay notices, cancellation rights, refund rights, product updates, safety notices, warranty matters, and customer support.
You are responsible for keeping your contact information accurate and current.
Products purchased from Orb AI are intended for personal use unless Orb AI gives written permission otherwise.
Orb AI may cancel orders that appear to be placed for unauthorized resale, export, fraud, unlawful use, or violation of this Agreement.
You agree to comply with all applicable export control, sanctions, customs, and trade laws.
You may not purchase, ship, transfer, export, re-export, or use any Orb AI product in violation of applicable law.
This Agreement is governed by the laws of the State of Delaware, except where the mandatory consumer protection laws of your place of residence require otherwise.
Nothing in this Agreement limits any non-waivable consumer rights under applicable law.
Before starting a formal legal claim, you agree to first contact Orb AI at alireza@orbai.ai and give Orb AI a reasonable opportunity to resolve the dispute informally.
If a dispute cannot be resolved informally, the dispute will be handled in the state or federal courts located in Delaware, unless applicable consumer protection law requires a different venue.
Nothing in this section limits any rights you may have under applicable consumer protection law.
Orb AI may update this Agreement from time to time.
The version that applies to your order is the version available at the time you placed your order, unless a later version is required by law or you agree to the later version.
If any part of this Agreement is found invalid, unlawful, or unenforceable, the remaining parts will remain in effect.
This Agreement, together with any order confirmation, checkout terms, return policy, refund policy, warranty policy, privacy policy, safety documentation, and any written terms provided by Orb AI, forms the entire agreement between you and Orb AI regarding your purchase.
